These terms apply to organizations (PTOs, HOAs, nonprofits, and similar groups) that use Quorum. By using Quorum, including connecting Stripe or Zeffy for fundraising, you agree to these terms on behalf of your organization.

Board productivity features (meetings, minutes, drafts, and activity-only campaigns) are available without payment setup. Collecting money requires an EIN and completed Stripe Connect. Quorum looks up your EIN in IRS exempt-organization records (via ProPublica Nonprofit Explorer). Zeffy and charity transparency scoring need a verified charity EIN (typically 501(c)(3) or deductible). Zeffy alone does not unlock money collection.

While Stripe or Zeffy is linked, your Quorum EIN is locked. Disconnect those connections to change or clear it, then reconnect. Quorum prefills your EIN and legal name into Stripe Express. Confirm the same tax ID on Stripe’s form. Quorum may warn if your board name, IRS legal name, and Stripe legal name differ. Warnings do not block Connect. Board display name changes require contacting support with a reason.

Quorum is a software platform operated by Maker Gully LLC. We provide board management tools and, when enabled, payment facilitation for community sponsorships and activity campaigns (such as reading rallies). Quorum is not the sponsor's contracting party for banner placement, and is not the recipient of campaign gifts; those funds are for your organization. Your organization sets campaign rules, reviews sponsor applications, and decides whether to approve or decline sponsors.

When you run an activity campaign with Stripe donations enabled, you authorize Quorum to:

• Accept peer-to-peer gifts for your participants through Stripe Checkout
• Use a destination charge so funds are transferred to your connected Stripe account
• Retain a 5% platform fee; 95% goes to your organization
• Cover Stripe card processing from Quorum's share
• Email a receipt to the donor from Quorum Support when an email address is available

Your organization is responsible for how campaign funds are used and for any tax reporting or acknowledgments required for gifts you receive. Campaign pages may show supporter names, amounts, and optional notes publicly.

When you run an activity campaign with Zeffy enabled, donors pay on Zeffy's platform. You authorize Quorum to:

• Receive payment.completed webhook events from your Zeffy account using a signing secret you provide
• Record gifts in Quorum (amounts, donor name/email when provided, optional notes, and participant attribution from URL parameters)
• Take no platform fee on Zeffy gifts; your organization keeps 100% of amounts Zeffy reports (subject to Zeffy's own terms and any voluntary tip to Zeffy)

Money custody and payouts remain between your organization and Zeffy. Quorum does not process Zeffy card charges. Prefer card payments for Quorum-tracked gifts; cancelled checks or deleted Zeffy payments are not automatically reversed in Quorum today. Use Zeffy donation forms (not ticketing) if you need participant attribution via UTMs.

When you connect a Stripe Express account, you authorize Quorum to:

• Authorize (hold) sponsorship payments from businesses on your behalf through Stripe Checkout
• Capture funds when you approve an application; release the hold when you decline
• Split each captured payment: 50% to your organization, 50% to Quorum as a platform fee
• Transfer your share to your connected Stripe account
• Release authorization holds when you decline (or when a hold expires). Refunds through Stripe apply only to rare legacy applications charged before approve

Quorum covers Stripe card processing fees from its platform share. Your organization receives its full 50% before Stripe's processing cost is applied to Quorum's portion. Bank and payout details are collected and stored by Stripe, not Quorum.

After approval (capture): Quorum's 50% platform fee is earned and non-refundable. You may end a banner's placement early for a policy or content issue, or if the business asks you to take it down (with a recorded reason). Ending placement early does not trigger a Stripe refund and does not return Quorum's fee. If you choose to make a sponsor whole (goodwill), that payment is your organization's responsibility outside Quorum.

• Provide accurate organization information, including EIN and names that reflect who receives payouts
• Confirm the tax ID in Stripe matches the EIN saved in Quorum
• Review sponsor applications promptly (card holds typically expire in about 7 days)
• Approve sponsors only when their banner and business are appropriate for your community
• Honor purchased placement terms in good faith; do not use early removal to avoid delivering sponsorship benefits after capture
• Not misrepresent sponsorship benefits or pricing
• Comply with applicable laws, including tax reporting for funds you receive (sponsorships and campaign gifts)
• Only enable Stripe campaign donations when your Stripe Connect account is ready to receive payouts
• Keep your Zeffy webhook URL and signing secret accurate when using Zeffy; configure donation forms and questions appropriately for attribution and notes
• Record a meeting only when everyone there has been told, and confirm that in Quorum before the file is used

Recording is optional. Your organization decides whether to record, tells everyone at the meeting, and is responsible for following recording laws.

When you record in the browser or upload a file, you confirm that everyone knew the meeting was recorded. Quorum sends that file to Google Gemini to draft notes for each agenda item. Quorum does not keep a transcript. You review and edit the draft before you publish. Votes and attendance stay as recorded.

An uploaded file is deleted when the notes are ready. A recording made in the browser is kept until you publish the minutes, then deleted. Published minutes may include the written notes. They do not include the audio.

Quorum is provided as-is. We may modify features, pricing, or these terms with reasonable notice where practicable. Sponsorship and Stripe campaign payment features require a working Stripe connection and depend on Stripe's availability. Zeffy sync depends on Zeffy's webhook delivery and your configuration.
