These terms apply to organizations (PTOs, HOAs, nonprofits, and similar groups) that use Quorum. By using Quorum, including connecting Stripe for community sponsorships, you agree to these terms on behalf of your organization.

Quorum is a software platform operated by Maker Gully LLC. We provide board management tools and, when enabled, payment facilitation for community sponsorships. Quorum is not the sponsor's contracting party for banner placement. Your organization sets tiers, reviews applications, and decides whether to approve or decline sponsors.

When you connect a Stripe Express account, you authorize Quorum to:

• Authorize (hold) sponsorship payments from businesses on your behalf through Stripe Checkout
• Capture funds when you approve an application; release the hold when you decline
• Split each captured payment: 50% to your organization, 50% to Quorum as a platform fee
• Transfer your share to your connected Stripe account
• Issue refunds only for legacy applications that were charged before approve (current flow uses authorization holds)

Quorum covers Stripe card processing fees from its platform share. Your organization receives its full 50% before Stripe's processing cost is applied to Quorum's portion. Bank and payout details are collected and stored by Stripe, not Quorum.

• Provide accurate organization information
• Review sponsor applications promptly (card holds typically expire in about 7 days)
• Approve sponsors only when their banner and business are appropriate for your community
• Not misrepresent sponsorship benefits or pricing
• Comply with applicable laws, including tax reporting for funds you receive

Quorum is provided as-is. We may modify features, pricing, or these terms with reasonable notice where practicable. Sponsorship payment features require a working Stripe connection and depend on Stripe's availability.
